Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Taplo restaurant point-of-sale platform, including our web application, desktop application, APIs, and related services (collectively, the "Service"), operated by Taplo ("Taplo", "we", "us", or "our"). By creating an account, clicking "I agree", signing electronically, or using the Service, you ("you", the "Customer", or the "Restaurant") accept these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Service.
Official domain & no affiliation
Taplo operates exclusively at taplo.in — our website at taplo.in, the web application at app.taplo.in, and the API at api.taplo.in. Taplo is not affiliated with, endorsed by, sponsored by, or connected to"taplo.com" or any other website, application, company, product, or entity bearing a similar or identical name. Any email, software, invoice, payment request, or communication originating from a domain other than taplo.in is not from us, and we bear no responsibility or liability for it. Always confirm you are on taplo.in before logging in or making a payment.
1. Eligibility & account
- You must be at least 18 years old and legally able to enter a binding contract, and authorised to act for the business you register.
- You are responsible for the accuracy of the information you provide and for all activity under your account, staff accounts, and API credentials.
- You are responsible for keeping login credentials confidential. Taplo is not liable for loss arising from unauthorised use of your account.
2. The Service "as is"
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted or error-free operation, or non-infringement. We do not warrant that the Service will meet your requirements or that defects will be corrected. You use the Service at your own risk.
3. Subscriptions, billing & NO REFUNDS
- Access to paid features requires an active subscription plan. Fees, billing cycle, and features are shown at purchase and may change on renewal with notice.
- All payments are final and non-refundable. To the maximum extent permitted by law, we do not provide refunds, credits, or pro-rated amounts for any reason, including partial use, non-use, dissatisfaction, downtime, feature changes, account suspension or termination, or early cancellation. This is governed by our Refund Policy, which forms part of these Terms.
- Subscription payments are collected via a manual UPI / bank-transfer flow and verified by us. You are responsible for paying the correct amount and providing a valid transaction reference. We are not responsible for bank charges, failed transfers, or amounts sent to an incorrect account.
- If payment is not received or verified, we may suspend or downgrade access without liability.
- Taxes (including GST) are your responsibility unless stated otherwise.
4. Your data & content
- You retain ownership of the data you enter (menu, orders, customers, inventory, staff, etc.). You grant us a licence to host, process, back up, and display that data solely to provide and improve the Service.
- You are solely responsible for the lawfulness of the data you collect and store through the Service — including customer personal information — and for obtaining any consents required under applicable law.
- Our collection and processing of data is described in our Privacy Policy, which forms part of these Terms.
- You acknowledge that no method of storage or transmission is 100% secure and that you provide your data at your own risk.
5. Administrative & super-admin access
You expressly acknowledge and consent that Taplo platform administrators ("super admins") can, for support, security, billing, compliance, and operational purposes, access, view, audit, export, modify, or delete any data in your account, and may temporarily access your account ("impersonate") to act on your behalf. Such access is logged. By using the Service you consent to this access and waive any claim arising from it, except to the extent caused by our wilful misconduct.
6. Acceptable use
You agree not to: (a) use the Service unlawfully or to store unlawful data; (b) attempt to breach security, probe, scan, reverse-engineer, or access data that is not yours; (c) interfere with or overload the Service; (d) resell or provide the Service to third parties without our written consent; or (e) misuse another business's or customer's data. We may suspend or terminate accounts that violate this section without notice or refund.
7. Availability, changes & suspension
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may perform maintenance that causes downtime. We are not liable for any interruption, data loss, or business impact resulting from downtime, maintenance, updates, or discontinuation.
8. Limitation of liability
To the maximum extent permitted by law, Taplo, its owners, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service — whether based in contract, tort, negligence, strict liability, or otherwise — even if advised of the possibility of such damages. This expressly includes, without limitation, losses arising from: order or billing errors, incorrect totals/taxes/discounts, payment failures or funds sent to a wrong account, downtime, data loss or corruption, security incidents, third-party services, or actions of your own staff or customers.
Aggregate cap. Our total aggregate liability for all claims relating to the Service shall not exceed the amount you actually paid to Taplo for the Service in the three (3) months immediately preceding the event giving rise to the claim, or INR 1,000, whichever is lower. Some jurisdictions do not allow certain limitations; where a limitation is unenforceable, our liability is limited to the least amount permitted by law.
9. Indemnity
You agree to defend, indemnify, and hold harmless Taplo and its owners, employees, and suppliers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the Service; your data or content; your violation of these Terms or any law; your handling of customer or employee personal data; tax matters; or disputes between you and your staff, customers, or vendors.
10. Term, termination & effect
- These Terms apply while you use the Service. You may stop using the Service at any time; no refund is due on termination.
- We may suspend or terminate your access at any time for breach, non-payment, suspected fraud or abuse, legal requirement, or at our discretion.
- On termination we may delete your data after a reasonable period. You are responsible for exporting anything you need beforehand. Sections that by their nature should survive (payment, disclaimers, liability, indemnity, governing law) survive termination.
11. Governing law & dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to the arbitration clause below, the courts at our principal place of business in India shall have exclusive jurisdiction. Any dispute, controversy, or claim arising out of or relating to the Service or these Terms shall be finally resolved by binding arbitration by a sole arbitrator appointed by Taplo, conducted in English under the Arbitration and Conciliation Act, 1996, seated in India. You waive any right to participate in a class, collective, or representative action.
12. Changes to these Terms
We may update these Terms at any time. The "Last updated" date reflects the current version. Continued use of the Service after changes constitutes acceptance. Material changes may be notified in-app or by email.
13. Entire agreement & severability
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Taplo and supersede prior agreements. If any provision is held unenforceable, the remaining provisions remain in full effect and the unenforceable provision is limited to the minimum extent necessary.
